In any case where liability is established, our total liability to you for any claim arising out of or relating to a specific service engagement shall not exceed the total amount you paid to UnifiedTek for that specific service during the three (3) month period immediately preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

7. No Guarantee of Results

While we are committed to providing high-quality IT services and will always act in your best interest, we cannot and do not guarantee specific outcomes, including but not limited to:

• Data recovery — We will make every reasonable effort to recover lost data, but successful recovery cannot be guaranteed and depends on the condition of the storage media.
• SEO and search rankings — Search engine rankings are determined by search engines (Google, Bing, etc.) and are subject to change. We cannot guarantee specific ranking positions or increases in web traffic.
• Marketing results — Digital and online marketing results vary based on many factors outside our control, including market conditions, competition, and platform algorithm changes.
• System performance — While we will optimize systems to the best of our ability, we cannot guarantee specific performance benchmarks on all hardware and software configurations.
• Security — We implement industry-standard security measures, but no security solution can guarantee 100% protection against all threats.

Our team will communicate openly with you about realistic expectations before commencing any work.

8. Payment Terms

Payment terms for services will be specified in your individual service agreement, proposal, or invoice. General payment terms include:

• Payment is due upon completion of one-time services unless otherwise agreed in writing.
• Monthly managed services and hosting plans are billed in advance on a monthly or annual basis.
• For larger projects, we may require a deposit prior to commencement of work, as specified in your proposal.
• Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance.
• We reserve the right to suspend or discontinue services for accounts with overdue balances.

9. Right to Refuse Service

UnifiedTek reserves the right, in its sole discretion, to refuse, cancel, or terminate services to any individual or business for any reason, including but not limited to situations where we believe the requested service would be unlawful, unethical, or inconsistent with our business values.

In the event we terminate a service engagement, we will provide reasonable notice and will refund any prepaid fees for services not yet rendered on a pro-rata basis.

We hope to resolve any concerns directly and amicably. If you have a dispute with us, please contact us first using the information in Section 15. We will make a good-faith effort to resolve the issue within 30 business days.

If we are unable to resolve the dispute informally, both parties agree to attempt mediation before pursuing litigation. Mediation shall take place in Suffolk County, New York, with a mutually agreed-upon mediator.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court to prevent irreparable harm.
